Trump Media & Technology Group has announced it is considering spinning off its social media platform, TruthSocial, into a separate publicly traded company to prioritize its cryptocurrency-related businesses in its corporate strategy. The company stated it is in discussions with energy fusion startup TAE Technologies and Texas Ventures Acquisition III regarding a potential transaction, with the latter aiming to gain control of the TruthSocial platform. This arrangement is based on a merger agreement reached between the two companies last December, valuing the deal at over $6 billion. The proposed plan involves first creating a new publicly traded company called SpinCo, which will then merge with Texas Ventures III. SpinCo shares will be distributed to existing shareholders. The company plans to launch its fintech brand, Truth.Fi, in 2025 and has established a Bitcoin reserve holding over 11,500 BTC.
