Metaplanet (TSE: 3350), a Japan-based bitcoin treasury company, said it will acquire all outstanding shares of Siiibo Securities Co., Ltd. for about $13.11 million, making it a wholly owned subsidiary and planning to rename it Metaplanet Securities Inc.
According to Foresight News, Metaplanet said it will use Siiibo Securities’ licenses and existing investor base to develop and distribute new yield products such as bitcoin-linked bonds, and to advance the structuring and issuance of digital finance products including security tokens.
Metaplanet said the acquisition will be funded mainly through its own cash and borrowings, and it may also use a bitcoin-collateral credit facility with a total limit of up to $500 million, depending on circumstances.
The share transfer agreement was signed on June 12, with closing expected on July 13. The company said the renaming process is expected to be completed by the end of August 2026.
As of May 31, 2026, Metaplanet held 40,177 BTC, and reported net asset value of about 457.6 billion yen.
Siiibo Securities holds a Japanese Type I Financial Instruments Business license and operates an online securities platform focused on corporate bonds. Metaplanet said the platform has supported more than 40 companies and over 100 bond issuances and underwriting deals.
Metaplanet said the acquisition is the first major merger-and-acquisition move under its “Project Nova” strategy, aimed at building a bitcoin-centered financial platform and ecosystem.
